Terms of Service

1. Acceptance. By creating a Vigil360 account you agree to these terms and our Privacy Policy.

2. Service. Vigil360 provides an AI governance platform. Service levels and specific deliverables are defined in your Order Form. The free trial provides full access for 14 days, no credit card required.

3. Acceptable use. You will not use Vigil360 to violate law, infringe IP, harass users, or attempt to bypass security controls.

4. Customer data. You own your data. We process it solely to provide the service. Our DPA is incorporated by reference.

5. Confidentiality. Both parties protect the other's confidential information with the same care as their own, but no less than reasonable care.

6. Fees and term. Plans billed annually unless agreed otherwise. Free trial converts to paid only on explicit upgrade.

7. Termination. Either party may terminate for material breach with 30 days written notice. Customer data is exportable for 30 days after termination, then deleted.

8. Warranty disclaimer. Service is provided "as is" beyond the SLA in your Order Form. We don't warrant the service is uninterrupted or error-free.

9. Liability cap. Liability is capped at fees paid in the 12 months preceding the claim, except for breach of confidentiality, IP indemnification, and gross negligence.

10. Governing law. Delaware. Disputes resolved by arbitration in San Francisco.
